1. Agreement and acceptance
These Terms of Service ("Terms") are a contract between Numiqa Global, Inc. ("Numiqa", "we", "us"), a Delaware corporation, and the business that uses the Numiqa platform, website and apps (the "Service") in the United States ("you").
Registered office: 131 Continental Dr, Suite 305, Newark, DE 19713, United States
Mailing address: 1908 Thomas Ave STE 83767, Cheyenne, WY 82001, United States
Numiqa is offered only to businesses and professionals, for their business or professional activity. It is not offered to consumers or for personal, family or household use. If you accept these Terms on behalf of a company, you confirm that you are authorized to bind it.
You accept these Terms electronically by ticking the acceptance box when you create your account, and your electronic acceptance has the same effect as a signature. As a record we keep the accepted version, the date and time, the IP address and the browser used. You can read, save and print these Terms at any time on this page.
Businesses based in Spain contract with Nexus Business Intelligence, S.L. under the Spanish Terms published at numiqa.com/terminos.
2. Changes to these Terms
We may update these Terms. If a change affects you materially, we will notify you at least 30 days before it takes effect, by email and inside Numiqa, and you may cancel without penalty before that date (see section 8). Changes in your favor, or required by law, may apply sooner.
A change never applies to a dispute that arose before the change took effect: that dispute stays governed by the Terms in force when it arose.
3. The Service
Numiqa is a business management platform delivered as software as a service and organized in modules, such as:
— Expenses, income, documents and suppliers
— Invoicing, quotes, delivery notes, customers and collections
— Inventory, recipes, stock, purchasing and usage
— Team: employees, schedules, time clock, absences and employee portal
— Business analytics and dashboards
— Virtual CEO and other AI-powered features
— Point of sale and connections with compatible point-of-sale systems
— API access for integrations, according to permissions, plan and agreed scope
The modules available to you depend on your plan and on your country. Some features are designed for Spanish regulations (for example Spanish tax filings, VERI*FACTU or SEPA) and are not part of the Service for US customers. We improve the Service continuously and may change or replace features, provided that we do not materially reduce the core functionality of your plan during a period you have already paid for.
4. Account and users
To use the Service you must be at least 18 years old, provide accurate information and keep your credentials confidential.
You are responsible for all activity carried out from your account and for the users you invite to your organization, including your employees. Each account belongs to a single customer. Tell us promptly at hola@numiqa.com if you believe your account has been accessed without authorization.
5. Subscriptions, automatic renewal and cancellation
You can subscribe online with a credit or debit card, in US dollars. Payments are processed by Stripe on behalf of Numiqa Global, Inc., which issues the invoices and receipts for US customers. We do not store your full card number.
AUTOMATIC RENEWAL. Subscriptions are billed in advance, monthly or yearly as you choose, and renew automatically for the same period until you cancel. Each renewal is charged to your payment method at the price then in force for your plan. Before you pay, the checkout page shows the price, the billing period, that the subscription renews automatically and how to cancel.
CANCELLATION. You can cancel at any time, online, in Numiqa under Billing and subscription > Manage billing, without contacting us. A cancellation takes effect at the end of the period already paid: you keep access until then and no further charges are made.
You can also change plan, update your card and download your invoices from Billing and subscription. When you move to a higher plan, the difference for the rest of the current period is added to your next invoice.
If a payment fails, we will let you know and you can update your card in Billing and subscription. While an amount remains unpaid we may limit the paid features of your account, after notifying you.
6. Prices and taxes
Plans, limits, prices and available modules depend on the subscription you contract and on the configuration active in your organization. Prices for US customers are in US dollars and are shown in Numiqa and on the checkout page before you subscribe.
Numiqa does not charge sales tax at checkout: the price shown is the total charged. If a state or local law requires us to collect a tax on the Service where you are located, we will tell you at least 30 days before we start adding it to your invoices, and you may cancel before that date. You remain responsible for any use tax or other tax that applies to your purchase under the law of your location, other than taxes on our income.
7. Refunds
Fees already paid are not refundable, except that we will refund the unused portion of a prepaid period when:
— you cancel because of a price change or a material change to these Terms, before it takes effect (sections 2 and 8)
— we end your subscription without cause, or discontinue the Service
— we materially breach these Terms and do not fix the breach within 30 days after you notify us
We will also give any refund that applicable law requires. Refunds go back to the original payment method.
8. Changes to prices and credits
Numiqa may change plan fees, the AI credits included, the credits consumed per page or unit of use and the price of credit packs. These changes apply generally to the affected plans, including subscriptions in progress, from the next billing period after the notice period ends.
We will only make them for objective reasons: changes in the cost of AI or infrastructure providers, changes in the models used, changes in the actual average cost per processed page, exchange rates, inflation, regulatory changes or improvements to the Service.
We will notify you at least 30 days in advance by email and inside Numiqa, explaining what changes, from what date and why. Changes in your favor may apply immediately.
If you do not agree, you may cancel without penalty before the change takes effect. If you prepaid a period that is still running on that date, we will refund the unused portion. If you keep using the Service after that date, the change is deemed accepted.
Credits already used are not recalculated. Remaining credits keep their number and are consumed at the rate in force when they are used.
9. Acceptable use
You may not use the Service to break the law or infringe the rights of others, access other customers' data, probe or bypass the security of the Service, reverse engineer it, overload it, use unauthorized bots or scrapers, upload malicious content, send unsolicited messages, or resell access without our written authorization.
You may not use the Service if you, or the business you represent, are subject to US sanctions or located in a country or region under a comprehensive US embargo, or to export the Service in breach of US export control laws.
We may suspend access that breaches these rules, as described in section 16.
10. Text messages
Program name: Numiqa verification codes. When you sign up with a US mobile number, Numiqa sends you a one-time verification code by text message (SMS) or, when SMS is not available, by WhatsApp. Message frequency: one message each time you request a code. Message and data rates may apply. Reply STOP to stop receiving messages and HELP for help, or contact us at hola@numiqa.com. Mobile carriers are not liable for delayed or undelivered messages. We do not send marketing text messages.
How we handle your mobile number is explained in our Privacy Policy at numiqa.com/privacy.
11. Your data and intellectual property
Numiqa and its licensors own all rights in the Service, including its software, design and content. Subject to these Terms and to payment of your fees, we grant you a non-exclusive, non-transferable right to use the Service for your internal business during your subscription.
You keep ownership of the data and documents you upload ("Your Data") and grant us a limited license to host, copy and process Your Data solely to provide, secure and support the Service for you. You confirm that you have the rights and permissions needed to upload Your Data, including any notice or consent required toward your employees, customers and suppliers.
If you send us suggestions or feedback, we may use them freely to improve the Service, without obligation to you.
12. How we process Your Data
When Your Data includes personal information about your employees, customers or suppliers, we act as your service provider: we process it only to provide the Service and following your instructions, we do not sell it, and we do not use it for our own purposes outside our relationship with you, except as required by law.
— People with access: only staff and providers who need it to operate the Service, under confidentiality obligations
— Providers: we use the providers listed in our Privacy Policy, under contractual data protection obligations; we will give you the current list on request
— Security incidents: if we confirm a security breach affecting Your Data, we will notify you without undue delay and in any case within the time required by law, so that you can meet your own obligations
— Help: we will reasonably help you respond to requests from the people whose information you upload
— Export and deletion: while your account is active you can export Your Data with the export features of the Service; after your subscription ends, we will delete or return Your Data within 30 days of your written request, except data we must keep by law. Copies in backups are deleted as the backups rotate
How we handle personal information is described in our Privacy Policy at numiqa.com/privacy.
13. AI features and your legal obligations
Some features use artificial intelligence to read documents, suggest data or answer questions. Results may contain errors. Review them before relying on them, especially for tax, accounting, payroll, employment or legal decisions.
Numiqa is a software tool. It does not provide tax, accounting, legal, payroll or employment advice. You remain responsible for complying with the laws that apply to your business, including wage and hour laws (such as the federal Fair Labor Standards Act and state minimum wage and tip rules), record-keeping and tax obligations. Schedules, time records and calculations prepared in Numiqa help you manage those obligations but do not guarantee compliance.
14. Confidentiality
Each party will keep confidential the non-public information it receives from the other in connection with the Service, use it only for this relationship and protect it with at least reasonable care. This does not apply to information that is or becomes public without breach, that the receiving party already had or developed independently, or that must be disclosed by law, in which case the receiving party will give notice where legally possible.
15. Third-party services
The Service connects with services we do not control, such as point-of-sale systems, payment processors, messaging providers and other integrations you choose to enable. Their own terms apply to your use of them. We are not responsible for their availability, content or actions, and an integration may stop working if the third party changes or withdraws its service.
16. Suspension and termination
You may cancel your subscription at any time as described in section 5.
We may suspend access, in whole or in part, if an amount remains unpaid after notice, if your use breaches section 9 or creates a security risk or legal exposure for Numiqa or other customers, or if the law requires it. Where possible we will notify you first and give you a chance to fix the problem, and we will restore access once it is fixed.
Either party may terminate these Terms if the other materially breaches them and does not fix the breach within 30 days after written notice. Sections that by their nature should survive termination (including payment of amounts due, sections 11, 12, 14 and 18 to 22) survive it.
17. Availability
Numiqa works to keep the Service available and monitored. Planned maintenance and causes beyond our reasonable control may interrupt it. Unless a specific signed agreement says otherwise, these Terms do not include a general availability guarantee or SLA.
18. Disclaimer of warranties
EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, NUMIQA DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND DOES NOT WARRANT THAT THE SERVICE OR ITS AI RESULTS WILL BE UNINTERRUPTED OR ERROR-FREE.
19. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE OR GOODWILL, EVEN IF ADVISED OF THEIR POSSIBILITY.
TO THE FULLEST EXTENT PERMITTED BY LAW, EACH PARTY'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO NUMIQA FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
THESE LIMITS DO NOT APPLY TO YOUR OBLIGATION TO PAY FEES DUE, TO YOUR OBLIGATIONS UNDER SECTION 20, OR TO LIABILITY FOR FRAUD, GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, OR ANY OTHER LIABILITY THAT CANNOT BE LIMITED BY LAW.
20. Indemnification
You will defend and indemnify Numiqa against third-party claims, and the resulting damages, fines and reasonable legal fees, arising from Your Data, from your use of the Service in breach of these Terms or of the law, or from your obligations toward your employees, customers and suppliers. We will notify you promptly of any such claim and let you control its defense, and you will not settle it in a way that imposes obligations on Numiqa without our consent.
21. Governing law and dispute resolution
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules, and by the Federal Arbitration Act.
INFORMAL RESOLUTION. Before starting a claim, the party with the dispute will send a written description of it to the other (see section 22) and both will try in good faith to resolve it for 30 days.
BINDING ARBITRATION. Any dispute arising out of or relating to the Service or these Terms that is not resolved informally will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, including its Expedited Procedures where they apply, before a single arbitrator. Hearings will take place by video conference unless the arbitrator decides that an in-person hearing is needed. The seat of arbitration is Wilmington, Delaware. The arbitrator's award may be entered in any court with jurisdiction. For claims you bring of up to $25,000, Numiqa will pay the AAA filing, administrative and arbitrator fees above $250.
EXCEPTIONS. Either party may bring an individual claim in small claims court where it qualifies, and either party may ask a court for an injunction to protect its intellectual property or confidential information.
CLASS ACTION WAIVER. CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE OR REPRESENTATIVE PROCEEDING. If this waiver is found unenforceable for a claim, that claim will be decided not in arbitration but by the state or federal courts located in New Castle County, Delaware.
JURY WAIVER. Where a dispute is heard in court, each party waives its right to a jury trial to the extent permitted by law.
TIME LIMIT. Any claim must be brought within one year after the facts giving rise to it became known, or reasonably should have become known, unless the law requires a longer period.
22. Notices
Legal notices to Numiqa must be sent in writing to Numiqa Global, Inc., 1908 Thomas Ave STE 83767, Cheyenne, WY 82001, United States, with a copy by email to hola@numiqa.com with the subject "Legal Notice".
We send notices to you by email to the owner of your account and inside Numiqa. Keep your contact details up to date.
23. General terms
— Entire agreement: these Terms, together with any order or plan you contract and the documents they refer to, are the entire agreement on the Service. A signed agreement prevails where it says so expressly

— Force majeure: neither party is liable for delays caused by events beyond its reasonable control, other than payment obligations
— Severability and waiver: if a provision is unenforceable, the rest remains in effect; not enforcing a provision is not a waiver
— Relationship: the parties are independent contractors
— US Government users: the Service is commercial computer software provided under these Terms
— Language: these Terms are written in English; translations are for convenience only
